Read and accept our end-user license agreement: By downloading or installing REBOL Technologies software, you are consenting to be bound by this agreement; if you do not agree to all of its terms, you may not download or install the software. REBOL TECHNOLOGIES SOFTWARE END USER LICENSE AGREEMENT This Agreement (the "Agreement") is a legally binding instrument between REBOL Technologies, Inc. ("REBOL"), and you, the licensee of REBOL software product(s) ("Software"), and governs your use of the Software and any accompanying documentation ("Documentation"). LICENSE GRANT. Subject to the terms of this Agreement, REBOL hereby grants you a non-exclusive and non-transferable license to use the Software (in object code and executable code formats only) and Documentation for the purpose of designing, developing, writing, testing and running computer software applications, which applications you may use for any legal purpose. LIMITATIONS. You may not remove from the Software or alter or add, and if making copies of the Software you must copy, all copyright, trademark and other proprietary rights notices contained in the original copy of the Software. You may not reverse engineer, decompile, disassemble, translate or attempt to learn the source code of the Software; however, if permitted under applicable law you may decompile the Software to the extent necessary to render it interoperable with other software. You may not create derivative works of, commercially distribute, or transfer for a fee or for profit the Software. TITLE. The Software and Documentation are licensed, not sold, to you. REBOL retains all right, title and interest in and to the Software including, without limitation, all intellectual property rights relating to or embodied in the Software and Documentation. TERMINATION. This Agreement and the license granted hereunder will terminate automatically if you fail to comply with the provisions of this Agreement. Upon termination, you must destroy all copies of the Software and Documentation. Your obligations to pay accrued charges and fees, if any, shall survive any termination of this Agreement. LEGAL COMPLIANCE. You agree to use the Software in compliance with all applicable Federal, State and local laws and regulations including, without limitation, all Federal laws governing the export or re-export of the Software. You agree to indemnify REBOL from and against your violation of any such laws or regulations. NO WARRANTIES. SOFTWARE AND DOCUMENTATION ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OR FITNESS FOR PARTICULAR USE OR PURPOSE. Some jurisdictions do not permit the disclaimer of certain implied warranties, so some of the foregoing may not apply to you; in such event the scope and duration of such warranty shall be the minimum permitted under applicable law. LIMITATION OF LIABILITY. IN NO EVENT AND UNDER NO LEGAL THEORY, SHALL REBOL OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS OR DATA, ARISING OUT OF THIS AGREEMENT OR USE OF THE SOFTWARE. IN NO EVENT WILL REBOL BE LIABLE FOR (a) ANY DAMAGES IN EXCESS OF THE AMOUNT REBOL RECEIVED FROM YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF REBOL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY, OR (b) FOR ANY CLAIM BY ANY THIRD PARTY. Some jurisdictions do not permit disclaimers of or limitations on certain types of damages, so some of the foregoing may not apply to you. REBOL does not purport to exclude or limit liability with respect to personal injury, death or property damage to the extent such liability cannot be excluded or limited under applicable law. U.S. GOVERNMENT END USERS. The Software and Documentation are each a "commercial item" as that term is defined at 48 C.F.R. 2.101 (OCT 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (SEPT 1995) and are provided to the U.S. Government only as a commercial end item. Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (JUNE 1995) all U.S. Government end users acquire the Software and Documentation with only those rights set forth herein. MISCELLANEOUS. This Agreement shall be governed by the laws of the State of California as applied to agreements made, entered into and performed entirely in California by California residents. Any terms on any purchase order that are in addition to, different from, or in conflict with, the terms of this Agreement shall be void and of no effect. If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable. The United Nations Convention on Contracts for the International Sale of Goods shall be inapplicable to this Agreement. This Agreement is the final, complete and exclusive statement of the parties, and supersedes all prior or contemporaneous negotiations, proposals, agreements or communications, whether oral or written, between the parities with respect to the subject matter hereof.
